1. Introduction and Agreement
Welcome to the Onigiri.ph Affiliate Program (the “Program”). These Terms and Conditions (the “Agreement”) govern your participation as an affiliate (“Affiliate,” “you,” “your”) promoting Onigiri.ph (“Company,” “we,” “us,” “our”).
By applying to the Program via our Affiliate signup page (https://onigiri.ph/affiliate), which redirects to our Affiliate Portal hosted on SureCart (https://loyalty-program-card.surecart.com/affiliates/sign_up), you agree to comply with and be bound by this Agreement. If you do not agree to these terms, do not participate in the Program.
We reserve the right to approve or reject any Affiliate application in our sole discretion.
2. Affiliate Portal & Links
- Affiliate Portal: Upon acceptance, you will gain access to the Affiliate Portal, where you can manage your account and view your performance metrics.
- Login: You can access the login page via the redirect link: https://onigiri.ph/affiliate/partner.
- Dashboard: Your main dashboard is located at: https://loyalty-program-card.surecart.com/affiliates/dashboard.
- Affiliate Link: You will be provided with a unique tracking link (“Affiliate Link”) to promote our store. This link is crucial for tracking sales referred by you and calculating your commissions. You can find your Affiliate Link within your Affiliate Portal account, typically under the “Settings→Referral URL” section.
3. Affiliate Obligations & Responsibilities
- Promotion: You agree to use your Affiliate Link to promote Onigiri.ph products/services in a positive and ethical manner.
- Compliance: You are responsible for ensuring your promotional methods comply with all applicable laws and regulations, including clear disclosure requirements (e.g., indicating material connections when promoting).
- Prohibited Activities: You shall not engage in spamming, misleading advertising, incentivized clicking (unless explicitly permitted), using adware/spyware, or any activity that could harm the reputation of Onigiri.ph. You may not bid on branded keywords related to Onigiri.ph in paid search campaigns without prior written consent.
- Link Integrity: You must ensure your Affiliate Link is used correctly to allow for proper tracking.
4. Commission Structure & Payouts
- Commission Rate: Affiliates will earn a commission of 30% on qualifying net sales generated directly through their unique Affiliate Link. “Net sales” typically exclude taxes, shipping fees, and returns/refunds.
- Tracking: Commissions are tracked via cookies associated with your Affiliate Link.
- Payout Methods: Payouts will be made via PayPal or GCash.
- Payout Information: You are responsible for providing and maintaining accurate payout information (the email address associated with your preferred PayPal or GCash account) within your Affiliate Portal settings. Failure to provide accurate information may result in delayed or forfeited payments.
- Payout Schedule: Commissions become eligible for payout approximately 60 days after the Company successfully receives the full payment from the customer whose purchase qualified for the commission. Payouts for eligible commissions will then be processed. This delay accounts for potential refunds, chargebacks, or payment processing times.
- Minimum Payout Threshold: A minimum balance of $80 USD (or ₱4500 PHP equivalent) in eligible commissions is required before a payout will be issued.”)]
- Payment Disputes: Any questions regarding commission calculation must be raised within 30 days of the relevant payout period.
5. Term and Termination
- Term: This Agreement begins upon our acceptance of your Affiliate application and continues until terminated by either party.
- Termination by Affiliate: You may terminate this Agreement at any time by providing written notice to us.
- Termination by Company: We may terminate this Agreement at any time, with or without cause, by providing written notice to you. We reserve the right to terminate immediately if you breach any term of this Agreement.
- Effect of Termination: Upon termination, you must immediately cease using your Affiliate Link and remove all Onigiri.ph promotional materials. Commissions earned and eligible for payout (i.e., past the 60-day holding period and meeting the minimum threshold) up to the termination date will be paid according to the regular payout schedule, provided they were not earned through fraudulent or prohibited means. Commissions still within the 60-day holding period at the time of termination may be subject to forfeiture at the Company’s discretion.
6. Relationship of Parties
You and Onigiri.ph are independent contractors. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative, or employment1 relationship between the parties. You have no authority to make or accept any offers or representations on our2 behalf.
7. Modification
We reserve the right to modify any terms and conditions within this Agreement at any time by posting a revised version on our website at https://onigiri.ph/affiliate-terms and/or notifying you via email or through the Affiliate Portal. Your continued participation in the Program following such changes will constitute your acceptance of the modifications.
8. Limitation of Liability & Disclaimer
We will not be liable for indirect, special, or consequential damages arising in connection with this Agreement or the Program.3 Our aggregate liability4 will not exceed the total commissions paid or payable to you under this Agreement. We make no express or implied warranties5 regarding the Program or the products/services sold through it.
9. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.
